Welcome to Agent360 CRM. These Terms of Service ("Terms") govern your access to and use of our customer relationship management platform and related services. By accessing or using Agent360 CRM, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By creating an account, accessing, or using Agent360 CRM, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you (the "User" or "you") and Agent360 CRM (the "Company", "we", "us", or "our").

If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Agent360 CRM provides a cloud-based customer relationship management platform designed to help businesses manage leads, deals, appointments, tasks, and customer communications. Our services include:

  • Lead and contact management
  • Deal and pipeline tracking
  • Appointment scheduling and calendar integration
  • Task management and team collaboration
  • Email and communication tracking
  • Reporting and analytics tools
  • Integration with third-party services

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use Agent360 CRM, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly to maintain its accuracy.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your password meets security requirements

3.3 Account Restrictions

You must be at least 18 years old to use our services. You may not share your account with others or create multiple accounts for improper purposes.

4. User Responsibilities and Conduct

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the service for any illegal or unauthorized purpose
  • Transmit any malicious code, viruses, or harmful content through our platform
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Reverse engineer, decompile, or disassemble any part of our platform
  • Use automated systems (bots, scrapers) to access our services without authorization
  • Resell, sublicense, or redistribute our services without permission
  • Upload or store content that infringes on intellectual property rights

5. Your Data and Content

5.1 Your Content Ownership

You retain all rights to the data, information, and content you upload, store, or process through Agent360 CRM ("Your Content"). We do not claim ownership of Your Content.

5.2 License to Use

By using our services, you grant us a limited, non-exclusive, royalty-free license to host, store, process, and display Your Content solely for the purpose of providing our services to you.

5.3 Data Responsibility

You are responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all necessary rights and permissions to use and share Your Content through our platform.

5.4 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of Your Content. We are not liable for any loss of data.

6. Fees and Payment

6.1 Subscription Fees

Access to certain features requires a paid subscription. Fees are billed in advance on a monthly or annual basis, as selected during registration. All fees are in Canadian dollars (CAD) unless otherwise specified.

6.2 Payment Terms

You agree to provide current, accurate billing information. By providing payment information, you authorize us to charge all applicable fees to your payment method. Subscriptions automatically renew unless cancelled.

6.3 Refunds

Fees are generally non-refundable except as required by law or as explicitly stated in your subscription agreement. Contact our support team for refund inquiries.

6.4 Fee Changes

We reserve the right to modify our fees with 30 days' advance notice. Continued use of our services after fee changes constitutes acceptance of the new fees.

7. Intellectual Property Rights

Agent360 CRM and all related software, design, text, graphics, logos, and other content (excluding Your Content) are owned by us or our licensors and are protected by Canadian and international intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without express written permission. Unauthorized use may violate copyright, trademark, and other laws.

8. Privacy and Data Protection

Your use of Agent360 CRM is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with PIPEDA and other Canadian privacy laws.

By using our services, you consent to our collection and use of information as described in our Privacy Policy. Please review our Privacy Policy for complete details.

9. Term and Termination

9.1 Term

These Terms remain in effect while you use our services or maintain an account with us.

9.2 Termination by You

You may terminate your account at any time through your account settings or by contacting our support team.

9.3 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or any applicable laws
  • Fail to pay applicable fees
  • Engage in fraudulent or harmful activities
  • Create risk or legal liability for us or other users

9.4 Effect of Termination

Upon termination, your right to use our services ceases immediately. We may delete Your Content after a reasonable grace period. Provisions that by their nature should survive termination will continue to apply.

10. Disclaimer of Warranties

Agent360 CRM is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose
  • Non-infringement or compatibility with your systems
  • Uninterrupted, error-free, or secure operation
  • Accuracy or reliability of results or data

We do not warrant that the service will meet your requirements or be available at all times.

11. Limitation of Liability

To the maximum extent permitted by law, Agent360 CRM and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or security breaches
  • Errors or omissions in content
  • Unauthorized access to your account or data

Our total liability for all claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agent360 CRM and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from: (a) your use or misuse of our services; (b) violation of these Terms; (c) violation of any rights of another party; or (d) Your Content.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

14. General Provisions

14.1 Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through our platform. Your continued use after changes constitutes acceptance.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agent360 CRM regarding our services.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.4 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
